Terms of Website Use

These Terms of Website Use (“Terms”) govern your access to and use of the website atlashq.in (the “Website”) operated by Atlas (“Atlas”, “we”, “us”). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, do not use the Website. These Terms do not govern the Atlas product or any pilot or deployment; those are covered by a separate signed agreement, which prevails for that relationship.

1. Intellectual property rights

1.1 Website content and design. All content on the Website — including text, graphics, images, video, logos, the “Atlas” and “Urbantrace” marks, and the design, layout, and arrangement thereof — is owned by or licensed to Atlas and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and the Information Technology Act, 2000.

1.2 Limited licence. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Website for your personal or internal business information only. Media-kit materials may be used only with attribution to Atlas and in accordance with any stated guidelines.

1.3 Infringement. If you believe content on the Website infringes your intellectual property rights, contact us at legal@atlashq.in with details, and we will address valid complaints in accordance with applicable Indian law.

2. Use of the Website

2.1 Permitted use. You may use the Website only for lawful purposes and in accordance with these Terms.

2.2 User conduct. You agree not to: (a) use the Website in violation of any applicable law; (b) attempt to gain unauthorised access to any part of the Website or its systems; (c) introduce any malware, or interfere with the Website’s operation; (d) scrape, harvest, or extract data by automated means without our written consent; or (e) misuse any contact or recruitment facility.

2.3 Third-party links and content. The Website may contain links to third-party websites. We are not responsible for their content, policies, or practices, and access is at your own risk.

2.4 Availability and modifications. We may modify, suspend, or discontinue any part of the Website at any time without notice. We do not warrant uninterrupted or error-free availability.

3. Representations, warranties, and disclaimers

3.1 User representations. You confirm you are 18 years of age or older. The Website is not directed at children, and we do not knowingly collect children’s personal data (s. 9, DPDP Act). You further represent that information you submit is accurate.

3.2 Disclaimer of warranties. The Website is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, to the fullest extent permitted by law.

3.3 No guarantee. Information about Atlas, the Urbantrace product, its capabilities, specifications, pricing, and timelines is provided for general information only, may change without notice, and may be subject to regulatory approvals, technical validation, and commercial availability. Nothing on the Website constitutes a binding offer, warranty, or commitment.

4. Limitation of liability

To the fullest extent permitted by law, Atlas and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, profits, or goodwill, arising from or in connection with your use of, or inability to use, the Website, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages.

5. Privacy and data protection

Your use of the Website is also governed by our Privacy Policy, which forms part of these Terms. Personal data processed by the Urbantrace platform on behalf of client organisations is governed not by these Terms but by the applicable Data Processing Agreement between Atlas and the client.

6. Indemnity

You agree to indemnify and hold harmless Atlas and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Website, or your violation of any law or third-party right.

7. Governing law and dispute resolution

7.1 Governing law. These Terms are governed by and construed in accordance with the laws of India.

7.2 Arbitration. Any dispute arising out of or relating to these Terms, including its existence, validity, or termination, shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement of the parties, failing which appointed in accordance with the rules of the Mumbai Centre for International Arbitration (MCIA) or s. 11 of the Act. The seat and venue of arbitration shall be Mumbai, Maharashtra; the language English; and the award final and binding.

7.3 Jurisdiction. Subject to Clause 7.2, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction.

8. Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

9. Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Atlas regarding the Website and supersede all prior negotiations, understandings, and agreements relating to its subject matter.

10. Changes to these Terms

We may revise these Terms at any time. Continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
